Acceptance of Terms

By purchasing, downloading, installing, or using any VizzEx™ (“Software”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use our Software and contact us immediately for a refund.

Proprietary Software License

License Grant

Subject to your compliance with these Terms and payment of applicable fees, VizzEx™ grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely in accordance with the terms specified in your license purchase.

Ownership and Copyright

The Software is proprietary to VizzEx™ and is protected by copyright laws and international treaty provisions. VizzEx™ retains all rights, title, and interest in and to the Software, including all intellectual property rights. This license does not grant you any ownership rights in the Software.

License Types and Restrictions

Single Site License

  • Install and use on one (1) WordPress installation only
  • For use by the license purchaser or their organization
  • May be moved between sites with proper deactivation

5-Site License

  • Install and use on up to five (5) WordPress installations
  • All sites must be owned/controlled by the license purchaser
  • License management through TaliTEK customer portal

25-Site License

  • Install and use on up to twenty-five (25) WordPress installations
  • Ideal for agencies managing client websites
  • All installations must be authorized through license system

Unlimited License

  • Install and use on unlimited WordPress installations that are owned or managed by you.
  • Includes multisite deployment features
  • For agencies, enterprises, and networks

Prohibited Uses and Restrictions

Strictly Prohibited Activities

You may NOT, under any circumstances:

Distribution and Copying

  • Copy, reproduce, or duplicate the Software in whole or in part
  • Distribute, share, or transfer the Software to any third party
  • Make the Software available for download on any website, repository, or platform
  • Include the Software in any bundle, package, or collection without explicit written permission
  • Sell, resell, lease, or rent the Software or any portion thereof

Technical Restrictions

  • Reverse engineer, decompile, or disassemble the Software
  • Modify, alter, or create derivative works based on the Software
  • Remove, alter, or obscure any copyright notices, license information, or branding
  • Bypass or circumvent any licensing mechanisms, activation systems, or usage restrictions
  • Extract, isolate, or separate any components, functions, or code from the Software

Competitive Activities

  • Create competing plugins that replicate our functionality, features, or market position
  • Use our code, algorithms, or methodologies in competing products or services
  • Study our Software for the purpose of developing competing solutions
  • Share technical details about our Software’s implementation with competitors

Intellectual Property Protection

Comprehensive Copyright Protection

All aspects of the Software are protected including:

  • Source code, algorithms, and programming logic
  • User interface design and functionality
  • Documentation, tutorials, and help materials
  • Images, graphics, and visual elements
  • Plugin architecture and data structures
  • Integration methods and API implementations

Trade Secrets

Portions of our Software constitute trade secrets and proprietary information. You agree to maintain the confidentiality of any non-public technical information and not disclose such information to third parties.

Trademark Rights

“TaliTEK” and our plugin names are our registered or common law trademarks. You may not use our trademarks without explicit written permission.

License Validation and Enforcement

Automated License System

Our Software includes license validation technology that:

  • Verifies license authenticity and status
  • Monitors installation count and usage
  • Collects basic site information for compliance verification
  • May disable functionality for invalid or expired licenses
  • Reports license violations for enforcement action

Audit Rights

We reserve the right to audit your use of the Software to ensure compliance with license terms. You agree to cooperate with reasonable audit requests and provide necessary access and information.

Violation Consequences

License violations may result in:

  • Immediate license termination without refund
  • Legal action for copyright infringement
  • Monetary damages and attorney fees
  • Injunctive relief to prevent continued violations

Updates and Support Services

Update Access

  • Updates require active, valid license
  • Updates may include license validation enhancements
  • Continued use implies acceptance of updated terms
  • No obligation to provide updates indefinitely

Technical Support

  • Email support for valid license holders only
  • Support limited to Software functionality and compatibility
  • No obligation to provide custom development or modifications
  • Support may be discontinued for violations of these Terms

Warranty and Liability

Limited Warranty

We warrant that the Software will perform substantially as described for 30 days from purchase. Your sole remedy for warranty breach is Software replacement or refund at our discretion.

Warranty Disclaimers

EXCEPT AS EXPRESSLY STATED ABOVE, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL TALITEK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

License Term and Termination

License Duration

  • All licenses are valid for one (1) year from purchase date
  • Annual renewal required for continued use and updates
  • Pricing subject to change at renewal

Termination Rights

We may terminate your license immediately for:

  • Any violation of these Terms
  • Non-payment of license fees
  • Fraudulent or abusive behavior
  • Legal or regulatory requirements

Effect of Termination

Upon termination:

  • All rights to use the Software cease immediately
  • You must uninstall and delete all copies of the Software
  • No refund of fees paid
  • Our rights and your obligations survive termination

Refund Policy

30-Day Money-Back Guarantee

  • Full refund available within 30 days of purchase
  • Must demonstrate good faith effort to use Software
  • Refund processed after Software removal verification
  • No refunds after 30-day period except at our discretion

Legal Enforcement

Governing Law

These Terms are governed by the laws of Hennepin County, Minnesota, United States of America. Any legal action must be brought in courts of Hennepin County, Minnesota.

Injunctive Relief

You acknowledge that violation of these Terms would cause irreparable harm for which monetary damages would be inadequate. We are entitled to seek injunctive and equitable relief without proving monetary damages.

Attorney Fees

The prevailing party in any legal action shall be entitled to recover reasonable attorney fees and costs.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Data Collection and Privacy

Use of the Software involves collection of:

  • License validation data
  • Site URLs and basic configuration information
  • Usage statistics for compliance monitoring
  • Technical information for support purposes

Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated through:
